The ideal candidate will have a background in registered equity offerings, particularly IPOs and follow-on offerings, with a preference for experience in the life sciences sector.Duties:Manage a broad range of corporate and transactional lifecycle matters, focusing on public company representation.Handle registered equity offerings, including IPOs and follow-on offerings.Support life sciences companies with legal counsel and support, addressing their specific needs and challenges.Collaborate effectively with teams to execute transactions efficiently and accurately.Independently manage substantial components of transactions, demonstrating leadership and initiative.Conduct legal research, draft documents, and prepare filings as necessary.Ensure compliance with relevant regulations and corporate governance standards.Requirements:3-5 years of corporate law experience, focusing on public company representation.Proven experience in registered equity offerings, including IPOs and follow-on offerings.Preferred experience working with life sciences companies.Exceptional academic credentials and demonstrated success in a comparable law firm environment.Admission to the relevant Bar or eligibility to obtain admission promptly.Education and Certifications:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Bar in the relevant jurisdiction.Skills:Strong understanding of corporate law principles and regulations.Excellent written and verbal communication skills.Ability to work both independently and collaboratively within a team environment.Attention to detail and accuracy in legal drafting and analysis.Proficiency in legal research and analysis tools.Strong organizational and time management skills, with the ability to manage multiple priorities effectively.
